Registered Agents and Registered Offices

Virginia Corporate Statutes require each Corporation that is formed in Virginia to continuously maintain a Registered Office and Registered Agent within the State of Virginia.

If you have a business office in the state, an individual can accept the responsibilities of Registered Agent. However, it is normally recommended that you retain the services of a Registered Agent Service. Failure to maintain a consistent Registered Agent is the most frequent reason for inadvertant administrative dissolution and loss of corporate status. This often results when your RA relocates or fails to take action upon receipt of information regarding the corporation. For this reason it is recommended that you retain a service that performs RA services as a regular part of its business.

The Registered Agent may be an individual or a corporation; provided that such individual or corporation must maintain a Registered Office within the State of Virginia. A corporation that is designated as Registered Agent for another corporation must either be a Virginia corporation or a corporation that is registered o do business in the State of Virginia.

The corporation being formed cannot act as its own Registered Agent.

In Virginia, the Registered Agent must be either (1) an individual who is a resident of Virginia and who is an initial Director in the corporation, (2) a resident of Virginia who is a member of the State Bar, or (3) a Virginia corporation or a corporation that is registered to do business in Virginia.

If a Registered Agent is a resident Director, the director must be listed with name and addresses in the Articles of Incorporation. The form documents included in your Package list a single initial director in your corporation who acts as the initial Registered Agent. Additional Directors can be appointed in your Corporate Kit. The template form is set up so that the first director that you list in the template will be inserted as the initial Registered Agent.

The Registered Office cannot be a Post Office Box. It must be a physical street address that is open during normal business hours.

At the time of Incorporation, the Registered Agent must execute an acceptance of its appointment as a Registered Agent and that the Registered Agent is familiar with and accepts responsibilities as Registered Agent. Under Virginia Law, the Registered Agent agrees to accept service of legal process on the Corporation.
