Corporate Directors In Tennessee Corporations

Tennessee Law requires each corporation to have a Board of Directors. Unless you rare having an attorney establish your incorporation as the initial registered agent, you will need to have one of the original directors act as the inititial registered agent for he corporation. If a director acts as the initial registered agent, you must list the name and address of your initial director in the Articles of Incorporation.

Your Tennessee Forms are set up to name one person as an initial director to act as the registered agent. Your Corporate Kit documents then later elect the full board of directors, assuming there will be more than one director.

If none of your initial directors are residents of Tennessee, you will need to have an attorney act as your original Registered Agent and amend your Articles of Incorporation to reflect this fact. The Board of Directors in a Tennessee corporation may consist of one or more persons.

Each Director must be at least 18 years of age.

Directors do not need to be residents of the state of incorporation.

All corporate powers of a corporation are exercised by or under the authority of the Board of Directors. The business and affairs of the corporation is managed under the direction the Board of Directors.

Your E-Book provides for 1-5 Directors. There may be a single director or up to five.

When designating a Board of Directors be cognizant of the potential for a deadlock in voting. Usually, a Board of Directors will have an odd number of Directors to avoid deadlock situations; however there is no legal requirements that there be an odd number of Directors. The Board of Directors is constituted in the organizational formalities that follow the incorporation of your company. Generally, the Board of Directors is elected by the Shareholders.
