Corporate Directors In Oregon Corporations

Oregon Law requires each corporation to have a Board of Directors.

The Board of Directors in a Oregon corporation may consist of one or more persons.

Each Director must be at least 18 years of age.

Directors do not need to be residents of the state of incorporation.

All corporate powers of a corporation are exercised by or under the authority of the Board of Directors. The business and affairs of the corporation is managed under the direction the Board of Directors.

When designating a Board of Directors be cognizant of the potential for a deadlock in voting.
