Ohio Corporate Statutes require each Corporation that is formed in
Ohio to continuously maintain a Registered Office and Registered Agent
within the State of Ohio. Ohio Refers to this is a "Statutory
Agent"
Ohio requires you to INCLUDE WITH YOUR FILING an original appointment
and acceptance of Statutory Agent. Be sure this form is included with
your filing. This document is set up to automatically generate with
your "articles.doc" file which is contained in your document
package. It is also attached to the state provided form Articles of
Incorporation that you may choose to use.
If you have a business
office in the state, an individual can accept the responsibilities
of Registered Agent. However, it is normally recommended that you
retain the services of a Registered Agent Service. Failure to maintain
a consistent Registered Agent is the most frequent reason for inadvertant
administrative dissolution and loss of corporate status. This often
results when your RA relocates or fails to take action upon receipt
of information regarding the corporation. For this reason it is recommended
that you retain a service that performs RA services as a regular part
of its business.
