Filing Fees For New York Incorporations The filing fee for a new Incorporation is $125.00. Additionally there is tax of $10.00 that covers up to 200 authorized shares of stock. The cover letter includes an additional $10.00 fee and requests a certified Copy of the Certificate of incorporation for a total of $145.00 If you wish to authorize more than 200 shares, see this LINK for more information. Corporations wishing to be authorized to issue more than 200 shares no par value or par value shares totaling more than $20,000 will incur a tax of more than $10. The tax rate is 5 cents per share of no par value stock and 1/20 of one percent (.05%) of the par value of the shares that have a stated par value. (Please see Section 180 of the Tax Law.) Fees must be paid by cash, check, or money order. Checks over $500 must be certified checks. Make checks payable to "Department of State." Fax Filing - You may file your Certificate of Incorporation by fax. If you file by fax, there is a Credit Card sheet that you must use.
