Illinois Corporate Officer Rules

Illinois statutes require a Illinois corporation to have at least one corporate officer. However, there are normally three (3) principal officers in a corporation; a President, a Secretary and a Treasurer. Illinois requires you to have at minimum a President and a Secretary.

Illinois Law permits one person to hold more than one office. Therefore, one person may be designated to all three offices.

It is important that you formally appoint the officers in your corporation in inital corporate actions and proceedings. It is also important that the activities of the officers be reviewed by the Directors of your corporation on a regular basis and that the directors re-elect the officers on an annual basis.
