Reports and Filings

All Colorado corporations are required by law to file a Report every two (2) years.

The Secretary of State will normally mail you a form Report to be filed (to your registered agent) in the beginning of the month during which the Report is due.

The report is due in odd or even years, depending on the year of organization. The report is due during the month of your original incorporation. If you incorporate n 2000, your reports will be due in 2002, 2004, etc. If you incorporate in 2001, your reports will be due in 2003, 2005 etc. Reports are due to be received by the Secretary of State NO LATER THAN THE LAST DAY OF THE RELEVANT MONTH!!!

If you do not receive a form from the Secretary of State, you will need to contact the Secretary of State so you assure that you file this report when due. You must also be certain to keep the Secretary of State advised through the proper filings of any change in your registered agent, business address, or registered agent address. If you do not, in addition to other legal consequences, you will not receive the form Report from the Secretary of State.

If you fail to file on a timely basis, a delinquency notice will be sent. Again, this makes it important to assure current address information on the Secretary of State records. YOU CORPORATION WILL BE IMMEDIATELY DISSOLVED IF YOU DO NOT FILE YOUR REPORT WITHIN 60 DAYS AFTER THE REPORT FORM IS MAILED TO YOU!!!
