Registered Agents and Registered Offices

California Corporate Statutes require each Corporation that is formed in California to continuously maintain a Registered Office and Registered Agent within the State of California.

The Registered Agent may be an individual or a corporation; provided that such individual or corporation must maintain a Registered Office within the State of California. A corporation that is designated as Registered Agent for another corporation must either be a California corporation or a corporation that is registered o do business in the State of California.

At the time of Incorporation, the Registered Agent must execute an acceptance of its appointment as a Registered Agent and that the Registered Agent is familiar with and accepts responsibilities as Registered Agent.

Your freeUScorporation E-Book self generates the Registered Agent acceptance as an attachment to the Articles of Incorporation. The Registered Agent must sign this statement and it should be submitted to the Secretary of State attached to the Articles of Incorporation.

Under California Law, the Registered Agent agrees to accept service of legal process on the Corporation.

An agent for service of process is an individual (or another corporation) designated by a corporation to accept service of process if the corporation is sued. California residency is the only requirement for an individual to be named as an agent for service of process. A corporation named as an agent for service of process must have on file with the California Secretary of State a certificate pursuant to Section 1505 of the California Corporations Code.

213. Every corporation shall keep at its principal executive office in this state, or if its principal executive office is not in this state at its principal business office in this state, the original or a copy of its bylaws as amended to date, which shall be open to inspection by the shareholders at all reasonable times during office hours. If the principal executive office of the corporation is outside this state and the corporation has no principal business office in this state, it shall upon the written request of any shareholder furnish to such shareholder a copy of the bylaws as amended to date.
