Role Of The Incorporator

The Incorporator is the individual(s) who take responsibility for filing the Articles of Incorporation and Certificate of Disclosure with the Secretary of State and officially commencing the corporate existence. The Incorporator should assign any rights to the Corporation to the Directors or the owners of the Corporation as a corporate formality after the Corporation is formed of record.

The incorporator is responsible for filing the Articles of Incorporation and Certificate of Disclosure to the Alabama Corporation Commmission.

It is not necessary for all shareholders or directors to act as incorporators. The incorporator can be any person.

Alabama Statutes read as follows:

10-201. Incorporators One or more persons may act as the incorporator or incorporators of a corporation by delivering articles of incorporation and a certificate of disclosure to the commission for filing.

Our Free Incorporation E-Book provides for one person to act as incorporator. Our Corporate Kit E-Book forms provide for the assignment of the Incorporator's interest as a corporate formality following formation.
